We seek an experienced and dynamic senior business and legal affairs Executive to join MACRO. The ideal candidate has a strong background in entertainment law and business affairs, a deep understanding of the entertainment and media industry, an impeccable reputation and credibility as legal counsel, and a proven track record of providing strategic legal counsel for high-stakes deals.

This role is for an entrepreneurial leader and businesspartner who will collaborate with internal stakeholders and externalpartners (studios, networks, streamers, agencies, outside counsel, production companies, talent, etc.) to spearhead and lead our legal functionand complex business and legal mattersto drive the company’s successacross various entertainment verticals, primarily focused on the Film and Television studios.

This is an exciting opportunity for an executive who wants to lead and build at a scaling diversified media company with a forward-thinking approach. This executive should be able to work at a high strategic level and also be willing to roll up their sleeves as needed.

This position demands excellent negotiation and draftingskills, strong business acumen, a robust legal background, a proven track record in the entertainment industry, an entrepreneurial spirit, a doer mentality, a strong work ethic, deep cross-functional internal and external collaboration skills, and strong, long-standing working relationships across studios, networks, agencies, and law firms.

Responsibilities:

  • Lead attorney/executive supporting the day-to-day legal and business strategy, due diligence, risk management, disputes, and legal affairs operations.
  • Develop a strategic plan and infrastructure for legal function in partnership with senior leadership.
  • Provide actionable guidance to support the growth strategy and business objectives of MACRO’s Film & Television Studios and other content development.
  • Drafting, structuring, reviewing, and negotiating a wide range of complexdeals and agreements in all phasesof development (packaging, production, talent, rightsacquisitions, intellectual property, licensing, distribution, strategic partnerships, co-financing) and other agreements involving content creation (content development, content acquisition agreements, underlying rights, productionservices, marketing agreements, and vendor agreements).
  • Negotiate writer, talent, and director deals before taking to market.
  • Collaborate with Finance and Content Studios leadership to develop deal analyses and review project budgets, financial projections, legal risks, and financial exposures.
  • Develop the company's litigation strategy and manage disputes involving intellectual property, contractual obligations, and other business matters.
  • Liaison and partner to outside counsel and provide strategic recommendations to reduce external legal fees and workstreams.
  • Represent the company in negotiations, meetings, and interactions with external stakeholders, including agents, talent, production companies, networks, studios, and distributors.
  • Inform business and legal policies best practices and share subject matter expertise to streamline related operations and processes.
  • Keep current and ensure compliance with industry changes, legislation, regulations, standards, and trends in the law, technology, industry, and marketplace related to content development, production, and distribution that may affect the company’s business operations.
  • Apply innovative problem-solving skills and practical business judgment to balance levels of risk against MACRO’s business needs.
  • Leverage long-standing industry relationships and develop partnerships with internal and external stakeholders.
  • Educating complex concepts to internal colleagues, external talent, and partners who do not necessarily have legal knowledge.
  • Manage ad hoc business & legal affairs opportunities and participate in special projects as needed.

Qualifications:

  • JD from an ABA-accredited law school; Admitted to CA Bar and in good standing (or another state bar permissible under CA in-house counsel rules).
  • 15+ years of direct and relevant transactional and dealmaking legal affairs in-house experience at a studio, network, platform, independent production company, or comparable experience at an entertainment or corporate law firm.
  • Television experience is required and essential, as well as some understanding of film, to work alongside outside counsel.
  • Understanding and experience with deficit financing and co-productions.
  • Extensive hands-on experience negotiating talent agreements (e.g., actors, writers, producers, directors), production services and intellectual property, guild/union, and/or other production legal work.
  • Strong business and financial knowledge and deep, relevant, long-standing relationships within the entertainment & media business.
  • Excellent business judgment, analytical, prioritization, influence, interpersonal, communication, and organizational skills.
  • A high degree of professionalism, integrity, and confidentiality.
  • Ability to execute simultaneous high-priority projects in short timeframes and under tight deadlines while maintaining a high standard of excellence.
  • A curious mind, strong work ethic, attention to detail, and a creative but practical business approach to problem-solving.
  • Ability to work independently and collaboratively in an entrepreneurial, demanding, high-volume, fast-paced team environment with the flexibility and willingness to work on various legal matters.
  • Ability to effectively work with people at different levels (including agents, senior executives, network executives, attorneys, talent, outside attorneys, and across in-house divisions).
  • Consistently and effectively meet deadlines while working under pressure, managing multiple assignments at any given time, and prioritizing them effectively and appropriately.
  • Strategic thinker providing recommendations and solutions while balancing legal risks with business goals.
